Bill Borne founded Amedisys in 1982, and has served as Chief Executive Officer and Chairman of the Board since that time. Mr. Borne's leadership has resulted in Amedisys being listed in Inc. Larry Graham is the President and Chief Operating Officer for Amedisys. Previously, he was Vice President of Operations and has served as Vice President of Finance. Through his focus on enhancements to Amedisys' home health operations, disease management services, and successful acquisitions, Mr. Graham has been a key driver behind the growth in both revenues and earnings for the Company. From the time Mr. Graham's term as COO began in 1999, the company has grown from 50 home care agencies to more than 480 home care and hospice agencies in 35 states across the United States as well as Puerto Rico and increased revenue from $38 million to an annualized revenue in excess of $695 million. In addition, Mr. Graham played a key role in the development of the company's strong corporate culture which is the foundation to its success, and in the development of the company's charitable organization, the Christen Foundation, which was created as a means for the organization to give back in the communities the company services. |

Dale Redman is the Chief Financial Officer for Amedisys. He brings more than 34 years of senior-level financial experience to the position. Most recently, Mr. Redman served as a Managing Director at Windward Capital Consulting, LLC, where he assisted businesses with capital issues and provided management consulting services in support of companies' growth strategies. Prior to this, Mr. Redman served for 10 years as Executive Vice President and Chief Financial Officer of United Companies Financial Corporation, which was a publicly traded home mortgage and home equity lender based in Baton Rouge, LA. In addition, Mr. Redman is an Adjunct Instructor in Finance at Louisiana State University, where he graduated with a Master's degree in Accounting. |

Alice Ann Schwartz serves as Chief Information Officer and Senior Vice President of Clinical Operations. Ms. Schwartz's dual role is to ensure the IT and clinical systems are integrated to meet the operational, business, and clinical needs of the organization. Employed with Amedisys since 1997 and having functioned in several critical positions within the organization, she assumed the position of Vice President of Operations in 2001, and was charged with restructuring the company's operational systems. She was subsequently promoted to Senior Vice President of Clinical Operations in 2003 and is responsible for the organization's quality infrastructure. Prior to entering the home care sector, Ms. Schwartz was employed in the acute-care trauma and cardiovascular surgery intensive care settings at the R. Adams Crowley Shock Trauma Center and Johns Hopkins Hospital in Baltimore, Maryland. She is a graduate of Louisiana State University and Johns Hopkins University. |

Jeffrey Jeter started with Amedisys in 2001 and currently serves as Chief Compliance Officer/Corporate Counsel. Prior to joining Amedisys, Mr. Jeter served as an Assistant Attorney General for the Louisiana Department of Justice where he prosecuted health care fraud and nursing home abuse. He received his Juris Doctorate from the Paul M. Hebert Law Center at Louisiana State University and also holds a Master's degree in Public Administration from Louisiana State University. Additionally, he is a graduate of the prosecutor training course at Northwestern University in Chicago. He also has served as an instructor at both the Federal Law Enforcement Training Center and the Louisiana Law Enforcement Commission Officer Training Program. |

| Beth Boulet is the Senior Vice President of Audit for Amedisys. Ms. Boulet joined Amedisys when the Internal Audit Department was established in 2002. Since that time, she has served in Staff Auditor and Audit Supervisor positions. She was responsible for starting and developing the internal audit function at the company. As the department has evolved, the role of audit in the organization centers around internal control assurance work, risk management, and corporate governance. Ms. Boulet has assisted the company with its Sarbanes-Oxley compliance initiatives in each of the last three years. Ms. Boulet has nine years of clinical cardiology experience as a cardiac rehabilitation manager and exercise physiologist. She is a Certified Internal Auditor and a graduate of Louisiana State University (B.S. Physical Education, M.B.A. - Internal Audit Specialization). She also holds a Master of Science degree in Exercise Physiology from the University of Louisville in Kentucky. |

| Janet Britt is the Senior Vice President of Billing and Collections. Ms. Britt has over 20 years of experience and success in streamlining operations, reducing accounts receivable days outstanding, negotiating contracts, and improving bottom line results. Prior to joining Amedisys, Ms. Britt served as Vice President of Contracts and Pricing for PharMerica in Tampa, Florida. Before being named Vice President of Contracts and Pricing, she served in various other roles for PharMerica. Ms. Britt received her Bachelor of Science degree in Accounting from Kansas State University. In addition, she is a member of the American Institute of Certified Public Accountants. |

| Jill Cannon is one of two Senior Vice Presidents of Operations over several states throughout Amedisys' coverage area. She has been with Amedisys since the Columbia Home Care acquisition in 1998, and accepted the Senior Vice President of Operations position in 1999. Ms. Cannon's unique ability to lead her agencies has her now responsible for 51 percent of return and operating our agency locations. Ms. Cannon began her nursing/hospital medical career in 1971 with staff and management positions focused in medical surgical and intensive care nursing. Since 1981, she has held home care positions from staff nurse to senior management and operational leadership positions. |

| Tom Dolan is the Senior Vice President of Finance. Mr. Dolan joined Amedisys in 2005 as Vice President of Corporate Development and was named Vice President of Acquisitions/Finance in 2006. Prior to joining Amedisys, he was employed for more than 10 years with American Airlines, Inc. in Forth Worth, Texas in various management positions including his most recent as Senior Principal of Corporate Finance & Banking in the Treasury Department. Previously, he spent more than five years in commercial lending with Comerica Bank. Mr. Dolan holds both a Bachelor's degree in Business Administration and a Master's degree in Business Administration with an emphasis in Finance from the University of Michigan. |

| Thomas Fisher is the Senior Vice President of MIS. He has more than 25 years of experience in the information technology field. Prior to joining Amedisys, he served as Senior Vice President and Chief Information Officer for Precision Response Corporation (a Top 5 Global Contact Center Corporation). Mr. Fisher has consulted with companies such as Bellsouth, Monsanto, Georgia-Pacific, Pfizer, Bank of America, Coca-Cola Company, Ryder Logistics, Turner Broadcasting, and CNNfn. In June 2003, he was named as one of "The 25 Most Influential Executives in the Consumer Goods Industry" by Consumer Goods Technology magazine. He has completed the Senior Executive Program at Columbia University, Graduate School of Business. Mr. Fisher is a member of the American Bar Association, Section of Business Law; a senior member of the Institute of Electrical and Electronic Engineers; and a member of the Microsoft Executive Circle. |

| Scott Ginn is the Senior Vice President of Accounting and Treasurer and brings more than 15 years of public accounting experience to the position. Prior to joining Amedisys, Mr. Ginn served as an Audit Director for the Baton Rouge office of Postlethwaite & Netterville, a Louisiana-based accounting and business advisory firm. He joined Postlethwaite & Netterville in 1991 after working for Ernst & Young in Baton Rouge, Louisiana. He was admitted as a Director at Postlethwaite & Netterville in 2002, and was most recently the lead Director in the firm's automotive dealership and employee benefit plan accounting and audit practice. Mr. Ginn received his Bachelor of Science degree in Accounting from Louisiana State University. In addition, he is a member of the American Institute of Certified Public Accountants as well as the Louisiana Association of Certified Public Accountants. |

| Patty Graham is the Senior Vice President of Marketing and has been with the Company since 1991. Prior to her current role, Ms. Graham served in various sales and marketing roles and assumed her position as SVP in 2004. Ms. Graham developed and implemented infrastructures within the department so that marketing now provides communications, sales support, and meetings/event planning services and support to more than 500 sales employees and 480 agencies as well as within the corporate office. Due to her experience in marketing and the home care industry, Ms. Graham has sat on the National Association of Home Care and Hospice as a Board member representing the Corporate Provider Section and has also served an at-large position on NAHC's Executive Committee. Additionally, Ms. Graham chaired NAHC's annual industry conference in the fall of 2007. |

Kevin Gunter is the Senior Vice President of Business Development for the Hospice Division of Amedisys. Prior to joining Amedisys in 2007, Mr. Gunter served as an Area Sales Director for Auxilium Pharmaceuticals, where he led a team of eight regional sales directors and 80 medical sales consultants. In addition, he has more than 15 years of experience in various sales management roles with the following companies: Elan Pharmaceuticals, Carnrick Laboratories, and King Pharmaceuticals. Mr. Gunter received his Bachelor of Science degree in Marketing Management from the University of Southern Mississippi.

| Pete Hartley is the Senior Vice President of Strategic IT and has been with Amedisys since 1992. He has developed a number of software systems for the medical industry including an agency management software system with integrated billing for Medicare/Medicaid and a single-entry, multi-site, multi-company home health system. In 2007, Mr. Hartley was the recipient of the company's Joffrion Award, which is presented each year to an individual who makes the most significant contribution to Amedisys, for his outstanding work with AMS2 and other software systems. |

| Arthur Hulbert is the Vice President of Arnica Therapy Services, which is a division of Amedisys. Arnica Therapy Services provides travel staffing placements for: physical therapists, physical therapist assistants, occupational therapists, occupational therapist assistants and registered nurses across the United States. Mr. Hurlbert earned his Master of Science degree in physical therapy in 1994 from the University of Central Arkansas. He received his doctorate in physical therapy from Rocky Mountain University in 2008. Mr. Hurlbert has been with the Company since January 2006. Prior to joining Amedisys, he served as President of Hurlbert Therapy Services and provided physical, occupational and speech therapy services throughout eastern Oklahoma and western Arkansas. Additionally, he previously served as an instructor at Oklahoma State University. |

| Francis Mayer is the Senior Vice President of Contracting. Mr. Mayer has worked at Amedisys since 1997 serving as Director of MSO, Vice President of Business Development, and Vice President of Collections and Contracting. He is a graduate of Louisiana State University and obtained a Master's degree in Healthcare Administration from Tulane University. In 2006, Mr. Mayer received the company's Joffrion Award, which is presented each year to an individual who makes the most significant contribution to Amedisys, for his efforts related to the construction of Amedisys' new corporate office.

| William Mayes is the Senior Vice President of Business Development. He joined Amedisys in 2004 as Regional Director of Business Development for the Tennessee, North Carolina, South Carolina, Northern Louisiana, and Virginia region and was promoted to Vice President of Business Development the same year. Prior to joining Amedisys, Mr. Mayes was employed with ConvaTec, a Bristol-Myers Squibb company, and held several managerial positions including Regional Sales Manager and Corporate Account Manager. He is also a veteran of the United States Army and graduate of Middle Tennessee State University with a Bachelor's degree in Agri-Business Economics. |

| John R. Nugent is the Chief Development Officer. Mr. Nugent has played an instrumental role in the continued growth of the Company via acquisitions. Prior to joining Amedisys, he was Senior Vice President of Development for AON Health Care Alliance working on various health system engagements throughout the country. Before AON, Mr. Nugent was President/CEO of LAMMICO Practice Management, a managed care and physician practice management company. Prior to LAMMICO, Mr. Nugent was the founder and CEO of Associated Health Services, a regional home health provider in Louisiana, Texas, and Oklahoma. He currently serves on the Government Affairs Committee for the National Association of Home Care and Hospice (NAHC), which helps develop legislative and regulatory policy for the home care and hospice industries.

| Cindy Phillips is the Senior Vice President of Human Resources. Ms. Phillips joined Amedisys in 1993 in the Human Resources department as a benefits coordinator. She was promoted to Vice President of Human Resources in 1996, and received her Professional in Human Resources (PHR) certification in 1999. As the SVP of HR, she has implemented a paperless initiative, revamped the recruiting function for the Company and developed the Talent Management onboarding structure. Prior to working at Amedisys, Ms. Phillips was employed for more than 10 years with Montgomery Ward in several retail management positions, including Group Merchandiser and Personnel Manager. She received a Bachelor of Psychology degree from the University of Pennsylvania.

| Patti Waller is one of two Senior Vice Presidents of Operations throughout Amedisys' coverage area. She joined Amedisys in 1998 in the role of New Business Development for the state of Georgia and was appointed Senior Vice President of Operations in 1999. With over 24 years in the industry, Ms. Waller's expertise has her responsible for 49 percent of the revenue for the company with operating responsibilities in more than 15 states and Puerto Rico. She holds Nursing degrees from Emory Crawford Long Hospital's School of Nursing as well as Brenau University in Gainesville, Georgia. Ms. Waller also serves as Secretary on the Board of Directors for the Georgia Association of Home Health.
